1. Overview and Acceptance of Use

Welcome to Winey Bitches Co.! Winey Bitches Co. LLC (“Winey Bitches Co.”, “our”, “us”, and/or “we”) is a lifestyle and retail brand offering products celebrating wine, women, and canines, while supporting animal rescue initiatives, through its websites (collectively, the “Site”) and any mobile applications (collectively, the “Application”) (together, the “Services”).

The terms “you” and/or “your” refer to any visitor of the Site and/or Application and any user of the Services, including any purchaser, reseller, or participant in our programs. These Terms govern your access to and use of the Services and Collective Content (defined below), and constitute a binding legal agreement between you and Winey Bitches Co.

By using our Services, you agree to these Terms, our Privacy Policy, and any related policies referenced herein. If you are not at least 18 years old or do not agree with these Terms, you must not use our Services. If you access on behalf of a company, you represent you have authority to bind that entity.

2. Modification

We may, at our sole discretion, update, suspend, or discontinue our Services or these Terms at any time without prior notice. Continued use of our Services after updates constitutes acceptance of the modified Terms. If you do not agree, you must discontinue use.

3. Key Definitions

• Collective Content: Includes Winey Bitches Co. Content and Member Content.

• Content: Text, graphics, images, music, software, audio, video, and other materials.

• Winey Bitches Co. Content: Content made available by Winey Bitches Co. through the Services.

• Member: A person or entity with a registered account.

• Member Content: Content that a Member posts, uploads, or submits through the Services.

4. Account Registration

To access certain features, you may need to register an account. You agree to provide accurate and up-to-date information. You are responsible for safeguarding your password and agree not to share it. Winey Bitches Co. reserves the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

5. Payment terms and Late Fees

Standard Payment

• All purchases must be paid in full at checkout unless otherwise agreed to in writing.

Wholesale & Special Orders

• Wholesale and special orders will be invoiced separately. Unless explicitly stated otherwise, invoices are due within 7 days of issue. Customers approved for net terms will follow their agreed-upon payment schedule, which supersedes the standard due date.

Late Payments

• A $45 late fee will be applied to any invoice not paid by the due date.

• Balances over $1,000 are subject to 3% monthly interest, calculated and charged daily until payment is received in full.

​Outstanding Balances
Accounts with an outstanding balance may have all pending or future orders suspended until the balance is paid in full. Order processing and shipment will resume once payment has been received and cleared.

Delinquent Accounts
Accounts with two (2) or more late payments in a calendar year may be converted to pre-pay status, requiring payment in advance of shipping for all future orders.

6. Ownership & Intellectual Property

All content on our Services is owned by Winey Bitches Co., its licensors, or affiliates. Trademarks, service marks, logos, trade dress, and product names (including “Winey Bitches Co.” and associated designs) are protected and may not be used without prior written consent.

7. License

Winey Bitches Co. grants you a limited, non-exclusive, non-transferable license to use our Services for lawful purposes only. You may not copy, distribute, resell, reverse engineer, or otherwise exploit our Services.

8. Member Content

By posting or submitting content, you grant Winey Bitches Co. a worldwide, royalty-free license to use, modify, and display your content for marketing, advertising, or operational purposes. You are responsible for ensuring your content does not infringe third-party rights or violate any laws.

9. Prohibited Uses

You may not use our Services to:

• Post unlawful, defamatory, obscene, or misleading content.

• Infringe intellectual property rights.

• Transmit viruses or malicious software.

• Harass or discriminate against others.

• Attempt to gain unauthorized access to our systems.

• Engage in fraudulent, abusive, or harmful activities.

Winey Bitches Co. reserves the right to investigate and pursue violations to the fullest extent of the law.

10. Termination

We may suspend or terminate your account and access to Services at any time, with or without cause. Termination does not affect obligations accrued prior to termination, including payment obligations.

11. Disclaimers

The Services are provided “as is” without warranties of any kind. Winey Bitches Co. makes no guarantees regarding uninterrupted access, accuracy, or fitness for a particular purpose.

12. Limitation of Liability

To the maximum extent permitted by law, Winey Bitches Co. shall not be liable for indirect, incidental, or consequential damages, including loss of profits, goodwill, or data. Our aggregate liability shall not exceed $100.

13. Indemnity

You agree to indemnify and hold harmless Winey Bitches Co., its affiliates, officers, employees, and agents from any claims, damages, or expenses arising from your violation of these Terms or misuse of our Services.

14. Governing Law

These Terms are governed by the laws of the State of Nevada. Any disputes shall be resolved exclusively in the state or federal courts of Clark County, Nevada.

15. Dispute Resolution – Arbitration

You agree to resolve disputes through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You waive the right to jury trial or class actions.

16. Assignment

You may not assign these Terms without prior written consent. Winey Bitches Co. may assign these Terms freely.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Winey Bitches Co. and supersede any prior agreements.
